For those forms which can be submitted to the Corporate Registry on paper, complete the form online, download to your printer, sign and date the form and then forward to our office, along with the required fee. Name Reservation: The first step in incorporation of a B.C. company is the approval of the name through the Names Unit of the Corporate Registry. Once your name is approved, it is reserved for you for a period of 56 calendar days. Any renewals of the reservation period will require payment of another reservation fee. A name will not be available if it is similar to the name of an existing company. This is so the public is not confused or mislead by similar corporate names. Documentation: Unless you are instructed to do so by registry staff, the regulation under the Business Corporations Act requires the electronic version of the Incorporation Application to be filed on the Internet. If you are not able to file electronically, you may prepare the forms on paper and, once the forms are completed, contact a law firm or registry agent to submit the forms on your behalf. The Table 1 articles of the Business Corporations Regulation were amended effective July 1, 2007. Under section 261(2) of the Business Corporations Act, a company that has Table 1 articles, or adopted a provision of Table 1 articles, at the time the amendment comes into force effects a corresponding alteration to the company’s articles without the necessity for the company to pass a resolution to make that alteration. If you incorporated your company prior to July 1, 2007 and adopted the Table 1 articles, or adopted provision 1.1, 2.5, 4.1, 4.2 or 4.3 of the Table 1 articles, click here to print a copy of the amended Table 1 articles to include in your company minute book. To continue a foreign corporation into BC to become a BC limited company, the company can choose to use as its name, the incorporation number of the company followed by “B.C. Ltd.” (example, 123456 B.C. Ltd.) If you choose to use the incorporation number as the company’s name, you do not need a name approval and reservation. To continue a foreign unlimited liability corporation into BC to become a BC unlimited liability company, the unlimited liability company must have the words “Unlimited Liability Company” or the abbreviation “ULC” as part of and at the end of its name. An unlimited liability company must not have the word “Limited”, “Limitée”, “Incorporated”, “Incorporée” or “Corporation” or the abbreviation “Ltd.”, “Ltée”, “Inc.” or “Corp.” as part of and at the end of its name. The foreign unlimited liability company can choose to use as its name, the incorporation number of the company followed by “B.C. Unlimited Liability Company” (example, 123456 B.C. Unlimited Liability Company.) If you choose to use the incorporation number as the unlimited liability company’s name, you do not need a name approval and reservation. Documentation: After your name has been reserved, and before a Continuation Application can be filed online electronically, written authorization from the foreign corporation's jurisdiction authorizing the corporation to continue into British Columbia must be mailed or faxed to the Corporations Unit. The authorization is to be addressed to the Registrar of Companies in B.C. and is to clearly state the name of the corporation in its current jurisdiction, its corporate number assigned by the foreign jurisdiction and that the corporation is authorized by an official of that jurisdiction to continue into B.C. The submitting party must also attach to the authorization or indicate on the authorization letter, the name reservation number for the name that the foreign corporation has reserved in B.C. If the foreign corporation is currently registered in B.C. as an extraprovincial company, the authorization must also include the previous registration number assigned in B.C., e.g. A0123344. Should an unlimited liability corporation under the Business Corporations Act (Alberta) be continuing into British Columbia, a director affidavit or court order is required by the registrar in addition to the authorization. Refer to Item D on Form 16U for information on the director affidavit or court order. Staff will notify the submitting party once the authorization(s) has(have) been received and processed. Once you have received notification, the last step to continuing your company into B.C. is to complete the Continuation Application.
