For those forms which can be submitted to the Corporate Registry on paper, complete the form online, download to your printer, sign and date the form and then forward to our office, along with the required fee. Note that some forms have an instruction page(s) which should be printed and referenced during completion of the form online. Sole Proprietorship The simplest form of a business is a sole proprietorship. One person performs all the functions required for the successful operation of the business and assumes all the liabilities. The proprietor is said to be self-employed. Partnership When two or more people or corporations arrange to carry on business together they can decide to form a partnership. The Partnership Act describes two main types of partnerships - general partnership and limited partnership. In a general partnership the partners are responsible for all aspects of the business including the debts of the partnership. In a limited partnership there are two types of partners - general and limited. Each type of partner has different rights and responsibilities. Generally speaking, there is a limit on the liability of a limited partner, while the general partner's liabilities are not limited. Miscellaneous The Partnership Act regulates how sole proprietorships and partnerships are registered. You can order a copy of the Act by calling Crown Publications in Victoria at 250 386-4636. You do not need a lawyer to register a sole proprietorship or partnership with us. We do suggest you get legal advice if you are not sure if you should have a sole proprietorship or partnership registered or incorporate a company. Note: Once you have received your name approval and NR number, and have met any and all conditions required on the Name Approval form, you can instantly register your proprietorship or partnership online on the OneStop Business Registry Web site. Submitting your form by mail will add two weeks to the registration process. Step One: Name Reservation: The first step in registering your partnership / proprietorship is the approval of the name through the Names Section of the Corporate Registry. Once your name is approved, it is reserved for you for a period of 56 calendar days. Any renewals of the reservation period will require payment of another reservation fee. A name will not be available if it is similar to the name of an existing company. This is so the public is not confused or mislead by similar corporate names. Please note, registration of a firm name does not provide any protection for that name and does not mean that the name will be available if you decide to incorporate a company using this name. Sole proprietorship and partnership names cannot use any form of corporate designation, for example Limited, Ltd., Inc., Corporation. Refer to the Information on Reserving Your Corporate Name (PDF550KB) information package for procedure to apply for your name approval. Step Two: Once you have received your name approval and NR number, and have met any and all conditions required on the Name Approval form, you can instantly register your proprietorship or partnership online on the OneStop Business Registry Web site. Or, if you cannot register online, then follow Step A and Step B below. Note that submitting your form by mail will add two weeks to the registration process. Step A: Fill out a Statement of Registration of General Partnership or Proprietorship - registration form. Ensure all appropriate areas are completed and information is correct. Step B: Submit your statement of registration and fee. Fees - $30 for name reservation and $40 for filing your statement of registration. Please note you must have a name approved prior to filing your statement of registration. Forward the completed form and fee to our office in Victoria. Your statement of registration must reach the Corporate Registry prior to your name expiry date, if not, you will have to reapply for the name and pay another $30. Once your request reaches our office, it normally takes five working days to process your statement of registration. A certified copy of your statement of registration will be returned to you by mail. If you do not receive your certified copy within four weeks, please call our office.
