Government's Core Review of the Corporate Registry determined that business processes could be streamlined and made more efficient. Under the amended legislation, what documents must societies now file with the Corporate Registry? The following documents
are required for the incorporation of a society: the Constitution, Bylaws,
List of Directors and Notice of Address. As well, special resolutions
changing the constitution and bylaws must still be filed. However, the
bylaws will not be examined to ensure they comply with the Society Act;
this is the responsibility of each society. Under the amended legislation, which documents are no longer required? Financial Statements accompanying annual reports no longer need to be filed. However, societies must make them available to the public upon request. If government no longer provides support services to societies, does that mean they must hire a lawyer for help with bylaws and other legal matters? The Corporate Registry
will continue to answer questions and provide assistance to societies,
if necessary. However, societies are free to conduct themselves as their
directors and members see fit, and are responsible for ensuring that their
documents comply with the Society Act. With government's oversight role of societies now more limited, what type of service can societies expect? Services to societies remain unchanged except that financial statements after November 1, 2004 are no longer available from the Corporate Registry and society bylaws are filed but not examined.
